Terms of Service
Last updated · Version 3
These Terms of Service ("Terms") govern your use of Publinza, the marketplace and SEO tools available at app.publinza.pro (the "Service"). In these Terms, "Publinza", "we" and "us" mean the operator of the Service, "you" means the person or organisation using it, an "Advertiser" is a user who orders a placement, and a "Publisher" is a user who lists websites and fulfils orders.
1. Acceptance of these Terms
By creating an account or using the Service you agree to these Terms and acknowledge our Privacy Policy. If you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms for it. If you do not agree, do not use the Service. If we publish a version of these Terms that requires you to accept it again, you can keep using your account, your orders and your data, but you will be asked to accept the new version before you place or accept a new marketplace order or submit a website for review.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract. The Service is intended for business and professional use.
3. Accounts and account security
You must give accurate information when you register and keep it up to date. You are responsible for your password and for everything done through your account. Tell us promptly through our Support page if you believe your account has been accessed without your permission.
4. The Publinza services
Publinza provides a marketplace where Publishers list websites and offer paid article and link placements, and Advertisers request and pay for them. Publinza also provides SEO tools, including SEO projects, technical audits of a website's public pages, single-URL analyses and reports. Publinza is not a party to the content of an article, and does not itself write, publish or host placements on Publishers' websites.
5. SEO tools and the informational nature of SEO metrics
Audits, analyses, reports and website metrics shown in the Service are for information only. They are not professional advice and do not guarantee any result.
6. Website metrics and third-party measurements
Website metrics shown in the marketplace can come from different sources, and each is labelled with where it came from. Some are measured by third-party services, some are reported by the Publisher, and some come from a Publisher's own connected analytics. Third-party and publisher-reported figures are estimates or provider-defined measurements; they can be delayed or unavailable, can change at any time and can differ from a website's own first-party analytics. Publinza does not guarantee the accuracy, completeness or future value of any metric, and does not guarantee search rankings, indexing, organic traffic, backlinks, domain or authority metrics such as DA or DR, how any search engine treats a website or link, or any other SEO outcome.
7. Publisher obligations
A Publisher must:
- only list websites they own or are authorised to sell placements on;
- describe each website, offer, price, turnaround and link treatment accurately, and keep listings up to date;
- fulfil accepted orders as agreed, within the stated turnaround;
- comply with the approved order, including the brief, content, link and placement requirements recorded on it;
- keep published placements live as described in section 13;
- comply with applicable law and with any disclosure or labelling rules that apply to sponsored content on their website.
8. Advertiser obligations
An Advertiser must:
- provide a lawful brief, target URL, anchor text and any article content they supply, and have the rights to everything they supply;
- not request content that is prohibited under section 21;
- review a delivered placement promptly and either request changes or accept it.
9. Listing accuracy
Publishers are responsible for their listings. Publinza reviews each website before it is listed and may reject it, and may hide a listed website from the marketplace if it appears inaccurate, misleading or in breach of these Terms.
10. Marketplace orders
An order works as follows:
- The Advertiser sends a request for a specific offer. The order records, at that moment, the price the Advertiser pays, the amount the Publisher will be paid, the currency, the turnaround and the offer details. None of these change if the Publisher later edits the offer or Publinza later changes the listing's price.
- The Advertiser pays for the order through the Service.
- Once payment is confirmed, the Publisher accepts or declines the request. A Publisher who accepts does so under the version of these Terms in force at that moment, and Publinza records which version that was for the order.
- After accepting, the Publisher publishes the article and delivers the live URL through the Service.
- The Advertiser reviews the delivery and either requests changes or accepts it. Accepting the delivery completes the order and confirms that the placement has been published.
11. Marketplace prices, the Publisher amount and Publinza's Marketplace fee
Two amounts for each listing. A Publisher sets the amount they ask to be paid for a placement on their website (the "Publisher amount", shown to the Publisher as their Publisher price), and agrees to it by listing the offer and by accepting each order. Publinza sets the price Advertisers pay for that placement in the marketplace (the "Marketplace price"), which an administrator approves for each listing before it can be ordered.
The Marketplace price may be higher than the Publisher amount. Where it is, the difference is Publinza's Marketplace fee for operating the marketplace, handling payments and providing its services: the Marketplace price is the Publisher amount plus any Marketplace fee that applies. The marketplace shows the Marketplace price as one all-in amount and need not show the fee separately. The Marketplace price may also equal the Publisher amount, in which case no Marketplace fee applies to that listing. Publinza does not promise any particular fee or percentage, and the fee can differ between listings.
Each side sees its own amount. An Advertiser sees and pays the Marketplace price. A Publisher sees the Publisher amount. The Marketplace price shown at checkout and recorded on the order is the full amount the Advertiser owes for that order.
What the Publisher is paid. A Publisher's earnings for an order are the Publisher amount recorded on that order, not the Marketplace price. The Marketplace fee is Publinza's and is never part of a Publisher's earnings.
Currency. Marketplace prices are shown and charged in US dollars unless the order says otherwise.
Payment-processing costs. Publinza does not add a payment-processing fee or a surcharge for any payment method to an order; it bears the fees its payment providers charge it.
Taxes. Each user is responsible for the taxes that apply to them. Publinza may collect, withhold, report or add taxes where the law requires it to.
12. Cancellations and refunds
Before the Publisher accepts. An Advertiser may cancel a request until the Publisher accepts it, and a Publisher may decline a request. If the order had already been paid, the Marketplace price paid is refunded to the Advertiser. A refund of a manual payment, including a UPI payment, is arranged by Publinza manually.
After the Publisher accepts and before completion. The Service does not provide a unilateral cancellation once a Publisher has accepted an order. If there is a problem with an order in progress, contact us through the Support page; Publinza reviews such a request case by case, and any refund it decides on is arranged manually.
After delivery has been accepted. Once the Advertiser has accepted the delivered, published placement and the order is complete, the order has been fulfilled. From then:
- a cancellation or refund request because the Advertiser has changed their mind is not accepted, and the payment is non-refundable on that basis;
- changes in search rankings, traffic, indexing, domain metrics such as DR or DA, search-engine algorithms, backlink metrics or any other measure of SEO performance do not by themselves create any right to a refund.
A published placement is not cancelled by deletion. Once the Publisher has delivered the published placement and the Advertiser has accepted it, an Advertiser cannot require Publinza or the Publisher to delete the article as a way of cancelling the order or of obtaining a refund, and the Publisher must keep it live for the placement period in section 13.
What a refund covers. A full refund of an order returns the whole Marketplace price the Advertiser paid, including any Marketplace fee. The Publisher is then not paid for that order, and Publinza keeps no Marketplace fee from it.
After a payout is approved. Once Publinza has approved the Publisher's payout for an order, the order can no longer be refunded through the Service's refund process, and Publinza does not reverse or reclaim an approved payout from the Publisher. A problem raised after that point, including one under the exceptions below, is handled under section 16.
Exceptions. Nothing in this section limits a refund, correction or removal that is required by law, or that is appropriate because of fraud, a duplicate or mistaken charge, a payment Publinza recorded in error, a legal requirement to remove content, or an error by Publinza. Publinza handles these cases from its own records, may need to process them manually, and will tell you the outcome.
Publisher breach is different. The rules above concern an Advertiser's change of mind. If a Publisher breaches the 12-month placement obligation in section 13, the matter is handled through Publinza's remediation process described there and the dispute process in section 16.
13. Article Placement Term and 12-Month Guarantee
Minimum placement period. Unless otherwise stated for a specific order, successfully completed Publinza marketplace placements are intended and required to remain live for a minimum of twelve (12) months from the confirmed publication date.
Guaranteed live until. The twelve-month period is one year. Once an order is complete, the order shows its confirmed publication date and the date until which the placement is guaranteed to remain live.
When the period starts. The twelve months start on the confirmed publication date: the date on which the Publisher submitted to Publinza the live URL for the delivery subsequently accepted by the Advertiser. Publinza records that date when the live URL is submitted, and shows it on the order once the Advertiser has accepted the delivery and the order is complete; the guarantee applies from that point. If the Advertiser asked for changes to an earlier delivery, the period runs from the delivery that was accepted. Publinza does not separately record when an article first appeared on the Publisher's website.
The Publisher's obligation. Publinza does not control Publishers' websites; keeping a placement live is the Publisher's contractual obligation. By accepting a marketplace order, a Publisher agrees - under the version of these Terms recorded for that order - that for at least twelve months after the confirmed publication date they will not, unless an allowed exception below applies:
- delete or unpublish the article;
- make the article inaccessible or deliberately prevent normal public access to it;
- remove the agreed backlink, or materially alter the agreed link placement;
- redirect the article in a way that defeats the purchased placement;
- change the agreed link treatment (for example followed, nofollow or sponsored) contrary to the completed order;
- replace the article with unrelated content.
During that period the article should remain publicly accessible and the agreed link placement should remain materially intact.
Allowed exceptions. A Publisher may remove or alter a placement before the twelve months end only where reasonably necessary because of:
- law or regulation;
- a court or government order;
- a valid copyright, trademark or other intellectual-property complaint;
- a privacy or data-protection obligation;
- illegal content;
- malware or a security incident;
- a serious breach of Publinza's policies discovered after publication;
- the website or domain being shut down;
- the Publisher permanently ceasing operation;
- material technical impossibility;
- an emergency security or safety issue;
- a written resolution agreed by both parties through Publinza;
- another exceptional circumstance where Publinza determines removal is required for legal, security or platform-integrity reasons.
These exceptions are narrow. An Advertiser or a Publisher simply changing their mind is not an exception. An allowed exception does not by itself create a right to a refund.
Publisher breach. If a Publisher removes or materially defeats a placement before the twelve months end without an allowed exception, that is a breach of these Terms. Publinza does not continuously monitor placements; an Advertiser who believes a placement was removed or changed early should tell us through the order's messages or our Support page, as described in section 16. Publinza may then investigate, and remediation follows this order:
- Publinza first requires the Publisher to restore the original, valid placement.
- If restoration is not reasonably possible, Publinza may require an equivalent replacement placement.
- If neither is reasonably possible, Publinza may determine another appropriate remedy under its marketplace policies.
These remedies do not include an automatic cash refund, an automatic Publinza credit or an automatic financial penalty, and nothing in this section promises one.
Publinza's other rights. Separately from remediation, where a Publisher has breached this section Publinza may, as reasonably appropriate and as its administration of the Service allows:
- investigate the placement and the Publisher's other listings;
- require restoration or replacement as described above;
- withhold approval of a payout for the order that has not yet been approved;
- hide the affected website or websites from the marketplace;
- pause the Publisher's new listings, or suspend all of the Publisher's listings so that none can be ordered;
- restrict what the Publisher's account can do in the Service, for example accepting new orders or listing websites.
These are rights Publinza may exercise, not automated processes.
After twelve months. Once the minimum twelve-month period has ended, Publinza no longer guarantees that the article will remain live. Continued publication is at the Publisher's discretion, subject to anything separately agreed. Standard Publinza placements are not permanent or lifetime placements; any such product would be offered separately, with its own terms.
No guaranteed SEO results. The placement guarantee concerns the article and link remaining live. It does not guarantee rankings, traffic, indexing, indexing duration or any other SEO outcome.
14. Price changes apply to future orders only
Publinza may change a listing's Marketplace price, and a Publisher may change their Publisher amount, at any time; a Publisher's change takes effect only once Publinza has reviewed and approved it. Any change applies only to orders placed after it takes effect. An order already placed keeps the Marketplace price, the Publisher amount, the currency and the pricing recorded on it when it was placed, and a Publisher's earnings for that order are never recalculated. Changes to Publinza's general pricing policies or default fees likewise affect only future pricing decisions and future orders.
15. Payments
How you pay. Payments are made through the payment methods Publinza offers at the time. Some are processed by third-party payment providers under their own terms; payment card and account details are handled by those providers, and Publinza records the status of each payment.
Manual payment methods. Some payment methods - paying Publinza's PayPal account directly, or paying by UPI - are verified by Publinza manually. For these:
- an order is treated as paid only once Publinza has checked its own bank or payment records and recorded in the Service that the payment was received in full;
- a payment reference, UTR, screenshot or other proof you submit helps Publinza find your payment, but is not itself confirmation that the payment was received;
- until Publinza records the payment, the order is not funded and the Publisher cannot accept it.
UPI payments in Indian rupees. Marketplace prices are in US dollars, and the US dollar amount remains the order's amount for every purpose in the Service. Where Publinza offers UPI, which is collected in Indian rupees, the rupee amount is calculated from the US dollar amount at a conversion rate maintained by Publinza's administrators. The rate and the rupee amount are shown before you pay and are fixed for that payment attempt; a later change to the rate does not change an attempt already started. Pay exactly the rupee amount shown, in a single payment. The conversion is used only to determine the amount to collect.
If a different amount arrives. If the rupees Publinza receives for a UPI payment are less or more than the amount shown, Publinza does not accept that payment for the order: a smaller amount does not fund the order, even in part, and a larger amount does not increase the order's amount. Publinza reviews each such difference manually and arranges any return of the money manually; you can then pay the exact amount. The conversion rate and rupee amount fixed for that payment attempt remain the basis for it.
What we will never ask for. Publinza will never ask you for a UPI PIN, a one-time password (OTP), a bank or card password, or your full card details, in its payment instructions or anywhere else. Do not share them with anyone claiming to act for Publinza.
16. Disputes about orders
Raising a problem. An Advertiser or a Publisher who has a problem with an order - for example a late or incorrect delivery, a placement that was removed or changed, or a payment question - should raise it through the order's messages or our Support page, with the order and what went wrong.
How Publinza handles it. Publinza may open a case for the order and investigate. Depending on the problem, Publinza may review:
- the order record, including what was ordered and the version of these Terms it was accepted under;
- the messages and files exchanged on the order;
- the delivered URL, when it was submitted, and whether the placement is publicly reachable and still matches the order;
- payment records, including references and proof submitted for a manual payment;
- any other information either party provides.
Publinza may ask either party for more information and may set a reasonable time to respond.
Decisions. Publinza administers the marketplace under these Terms and may decide how a case is resolved - for example requiring restoration or replacement of a placement under section 13, or recording a refund where these Terms or the law provide one. Opening or resolving a case does not by itself move any money: a refund or a payout follows Publinza's normal payment and payout processes. This is an administrative review by Publinza as the operator of the marketplace; it is not arbitration or a court process. Nothing in this section removes any right you have under law to take a dispute elsewhere.
17. Publisher payouts
A Publisher is paid the Publisher amount recorded on each order; the Marketplace fee is never part of a payout. A payout becomes due only after the order is complete - the Publisher has delivered the published placement and the Advertiser has accepted it - and the payment for the order has been confirmed. Payouts are reviewed and approved by Publinza and may be processed manually. Publinza may delay approving a payout while a dispute or an investigation concerning the order is open. Publinza does not promise a particular payout date or schedule unless one is stated separately.
18. Sponsored content and link placement
Advertisers and Publishers are each responsible for complying with the rules that apply to sponsored content and paid links, including any required disclosure, and with the guidelines of the platforms and search engines that apply to them.
19. Publisher fulfilment
A Publisher must deliver the placement described in the order - the agreed website, article, link, anchor text and link treatment - and provide the live URL through the Service.
20. Advertiser content
An Advertiser is responsible for the content, links and materials they provide. Article files uploaded to an order are kept for thirty days after the order is completed and are then deleted.
21. Prohibited content
You may not use the Service for content that is illegal, deceptive, defamatory, hateful, sexually explicit, infringes anyone's rights, promotes malware or phishing, or is otherwise prohibited by Publinza's policies.
22. Prohibited activity, fraud and manipulation
You may not misrepresent a website, its ownership or its metrics; create fake orders, reviews or accounts; attempt to move a transaction off the Service to avoid it; interfere with the Service's security; scrape or overload the Service; or use it for any unlawful purpose.
23. Ratings and reviews
Advertisers may rate completed orders. Ratings must be honest and relate to the order. Publinza may stop an account from writing or editing ratings where it breaches these Terms.
24. Intellectual property
Publinza owns the Service, its software and its branding. You keep the rights to content you provide, and you grant Publinza the permissions needed to operate the Service with it - for example, to display a listing or deliver an article file to the other party of an order.
25. Intellectual-property complaints
If you believe content on the Service infringes your rights, contact us through the Support page with enough detail for us to identify it.
26. Third-party services
The Service relies on third-party services such as payment providers, email delivery, hosting and Google APIs. Their availability and terms are outside Publinza's control.
27. Google integrations
Publishers can connect Google Search Console and Google Analytics to show verified website metrics. How that data is used is described in our Privacy Policy. You can disconnect at any time from your integrations settings.
28. Availability of the Service
We work to keep the Service available but do not guarantee that it will be uninterrupted or error-free, and we may change or discontinue features.
29. Suspension and termination
For a breach of these Terms, to protect other users or the Service, or where required by law, Publinza may restrict what an account can do in the Service (for example placing or accepting orders, listing websites, sending messages or writing ratings), pause a Publisher's new listings, suspend a Publisher's listings so that none can be ordered, hide a listing from the marketplace, or reject a payment it cannot verify. These are actions Publinza's administrators take, with a recorded reason; they are not automatic, and they do not by themselves cancel orders already accepted or move any money. You may stop using the Service at any time; how to request account closure is described in our Data Deletion Instructions. Obligations on orders already accepted, including the placement guarantee, continue after an account is closed.
30. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.
31. Limitation of liability
To the extent permitted by law, Publinza is not liable for indirect or consequential losses, lost profits, lost rankings or lost traffic, and Publinza's total liability relating to an order is limited to the amount paid for that order. Nothing in these Terms limits liability that cannot be limited by law.
32. Changes to these Terms
We may update these Terms. The current version, and the date it was published, is always shown on this page. A version that materially affects your rights may be marked as requiring you to accept it again. Until you do, you can still sign in, read your orders and messages, pay for, deliver and complete orders already placed, decline or cancel where these Terms allow, and receive payouts; you will be asked to accept the new version before you place or accept a new marketplace order or submit a website for review. Each order keeps the version of these Terms recorded for it.
33. Operator and contact
The Service is operated by Publinza Media Private Limited. Questions about these Terms can be sent to outreach@publinza.pro or through our Support page.
